This Lead Generator Representative Agreement (the “Agreement”) is entered into effective this date by and between Bridge Road Marketing, LLC and the independent party name listed at the end of this contract.

OVERVIEW
Bridge Road Marketing, LLC is a privately held web design, development, custom application, and marketing solutions provider. Lead Generator Representative compensation is based on a performance incentive program. Activities will include providing viable "leads" of new clients interested in web design related services.

INDEPENDENT CONTRACTOR
This Agreement shall govern the relationship of the parties, which shall be that of contractor (Bridge Road Marketing, LLC) and independent contractor (Lead Generator Rep) Nothing in this Agreement shall be construed so as to create an employer—employee relationship. Lead Generator Rep is an independent contractor in relation to Bridge Road Marketing, LLC. No agency relationship, joint venture or partnership is created by this Agreement. Lead Generator Rep shall have no authority, express or implied, to enter into contracts with third parties or make representations on behalf of Bridge Road Marketing, LLC without its express written consent. Lead Generator Rep agrees to indemnify, defend and hold Bridge Road Marketing, LLC harmless with respect to any liability that may arise from or relate to Lead Generator Rep’s involvement in Bridge Road Marketing, LLC sales Program. Lead Generator Rep understands he or she is an independent contractor and is therefore solely responsible for all self-employment taxes and any federal, state and local taxes or fees that may arise from the independent contractor relationship.

TERM OF AGREEMENT
This Agreement shall be effective as of the Effective Date, and shall remain in effect until terminated by either party.

DUTIES OF LEAD GENERATOR REP
Lead Generator Rep agrees that he or she will (in exchange for compensation which detailed below) put Bridge Road Marketing, LLC in direct contact with interested prospective new clients of web design / web development / social media marketing / ecommerce business. The Lead Generator Rep is not responsible to close the sales arrangement between prospective clients and Bridge Road Marketing, LLC.

COMPENSATION
Bridge Road Marketing, LLC will pay Lead Generator Rep a commission for each qualifying lead which meets the requirements of the Lead Generation Program. A lead is counted only after the signature page with the customers signature on a new work contract has been returned to Bridge Road Marketing, LLC. Commissions will be paid via PayPal within 15 business days upon receipt of signed contract. Lead Generator Rep agrees to treat as confidential and shall not disclose to any third party the rate schedule set forth in this Agreement and further agrees that any violation of the same shall result in forfeiture of commissions payable under the same.

PAYMENTS
The payout for the Lead Generator incentive compensation is based on the following:

10% of total pre-tax sales of new business generated by Lead Generator Rep paid on a per project basis.

Bonuses: In any calendar month where greater than 4 leads are referred to Bridge Road Marketing, LLC. All referrals within that month will be paid at a rate of 15%. The calendar month will be determined based on the date time stamp on the "submission email."

Any "Lead Generator" referring greater than 100 leads in a calendar year will be paid 20% on ALL referrals provided during that calendar year.

PAYOUTS
Payout of 10% commission will be sent to Lead Generator Rep within 15 business days of client signed contract and receipt of client "down-payment" on new business.

TERMINATION
This Agreement may be terminated by any party at any time with at least 10 days written notice to the other party. In the event Lead Generator Rep commits any act of fraud or dishonesty, as determined solely by Bridge Road Marketing, LLC, Bridge Road Marketing, LLC may immediately terminate this Agreement, but shall provide notice of the termination to Lead Generator Rep as soon as feasible under the circumstances. In the event Bridge Road Marketing, LLC terminates this Agreement due to Lead Generator Rep’s insubordination, gross failure to perform any duty required by this Agreement, fraud, dishonesty or any other act that, as determined solely by Bridge Road Marketing, LLC, deprives Bridge Road Marketing, LLC of one or more benefits of this Agreement, such act shall be deemed to have caused a forfeiture of all compensation otherwise payable to Lead Generator Rep.
